Terms & Conditions

By engaging Nexus Digital for web design, UI/UX conceptualization, custom frontend development, full-stack programming, or digital consulting services—whether initiated through an official written proposal, statement of work (SOW), online invoice, or our verified Fiverr escrow portal—you agree to be legally bound by these Terms and Conditions.

These terms constitute the entire agreement between both parties unless a separate, custom Master Services Agreement (MSA) or Non-Disclosure Agreement (NDA) has been explicitly executed in writing by authorized representatives of both parties.

Nexus Digital provides professional digital engineering and creative services, including but not limited to:

• Custom Web Design & Frontend Development: Hand-crafted HTML5, CSS3, JavaScript, Vue/React architectures, responsive mobile-first layouts, and clean animations.
• E-Commerce & Service Portals: Custom storefronts, catalog filters, booking workflows, and third-party checkout integrations.
• Performance & SEO Optimization: Sub-second page loads, Core Web Vitals optimization, semantic schema markup, and meta structure setup.
• Maintenance & Technical Support: Bug fixes, security audits, CMS updates, and domain configuration.

Project delivery schedules provided in estimates represent good-faith operational forecasts. Timelines remain contingent upon the prompt provision of client content, branding assets, API credentials, and timely milestone approvals.

All pricing quotations issued by Nexus Digital are valid for 30 calendar days from the date of issuance.

Standard Payment Milestone Structure

• Initial Deposit (50%): Required prior to project initiation, wireframing, and code repository setup.
• Staging Completion / Beta Review (25%): Invoiced upon demonstration of functional staging pages and core features.
• Final Settlement (25%): Due upon final quality assurance review, prior to live DNS pointing, domain deployment, or unencrypted source code delivery.

To ensure timely execution and peak project performance, the Client agrees to:

• Provide Project Assets: Supply high-resolution logos, brand guidelines, copy text, product images, and media in a timely manner.
• Verify Intellectual Property Rights: Warrant that all text, imagery, trademarks, and media supplied to Nexus Digital are owned by the Client or properly licensed for commercial usage.
• Timely Feedback & Reviews: Provide consolidated feedback and design approvals within 3 to 5 business days of each milestone preview.
• Designate a Single Point of Contact: Designate an authorized primary liaison to streamline communications and approval decisions.

We believe in total transparency regarding intellectual property:

• 100% Transfer of Custom Code: Upon receipt of 100% full and final payment, all exclusive rights, title, and copyright in the custom website markup, bespoke CSS stylesheets, custom scripts, and visual design assets produced specifically for the Client transfer entirely to the Client.
• Open-Source Frameworks & Libraries: Any third-party open-source libraries (e.g., Font Awesome, Google Fonts, Supabase client libraries) utilized in the project remain subject to their respective MIT, Apache, or GNU licenses.
• Agency Portfolio Rights: Unless a strict non-disclosure agreement (NDA) is signed prior to project kick-off, Nexus Digital retains the standard professional right to display screenshots, live URL links, and non-confidential case study summaries in our agency portfolio and marketing showcases.

Every standard custom web design proposal includes two (2) comprehensive rounds of revisions at both the wireframe/design preview stage and the beta staging stage.

Revisions include aesthetic adjustments, typography modifications, layout alignments, and copy alterations within the agreed Statement of Work.

Out-of-Scope Modifications: Requests for new architectural features, additional pages, database refactoring, or fundamental scope pivots not included in the original agreement will be estimated separately under a transparent Change Order at our standard hourly or fixed feature rate.

We stand firmly behind the quality and reliability of our code. Nexus Digital provides a complimentary 30-Day Technical Warranty starting immediately from the official deployment/launch date.

Warranty Coverage Includes:

• Fixing unexpected styling bugs or responsive rendering errors on supported modern browsers (Chrome, Firefox, Safari, Edge).
• Correcting broken links, JavaScript errors, or faulty contact form dispatches built by our team.
• Resolving SSL certificate binding or Vercel edge deployment issues directly related to the delivered code.

Exclusions: The warranty does not cover issues caused by unauthorized third-party modifications to the code, external API outages, server hardware failures, or major browser breaking engine updates released subsequent to launch.

Nexus Digital assists clients in setting up high-performance hosting on providers such as Vercel, Cloudflare, AWS, or client-preferred cPanel/VPS servers.

• Hosting Uptime: While we optimize code for 99.9% uptime, physical server uptime is managed by the respective cloud hosting provider (e.g. Vercel, AWS). Nexus Digital is not liable for upstream data center outages.
• Third-Party API Reliability: If your web app connects to third-party APIs (such as payment gateways, Google Maps, WhatsApp Business APIs, or CRM webhooks), changes to third-party API terms, pricing, or deprecations are beyond our direct control.

To the maximum extent permitted by applicable law, Nexus Digital and its developers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business goodwill arising out of or in connection with the use of our services or delivered web applications.

In all circumstances, the total cumulative liability of Nexus Digital for any and all claims arising under this agreement shall not exceed the total fees actually paid by the Client to Nexus Digital for the specific project in dispute.

SEO & Business Outcomes: While we employ industry-leading SEO architecture, Google Schema markup, and speed optimizations, search engine rankings and business sales are governed by external search algorithms and market conditions; therefore, specific search ranking positions cannot be contractually guaranteed.

Both parties agree to treat all proprietary information, trade secrets, unpublished business metrics, pricing details, and private customer databases shared during the engagement with strict confidentiality.

Confidential information will not be disclosed to any third party without prior written consent, except where required by lawful court order or regulatory authority.

Either party may terminate an active service agreement upon providing seven (7) business days written notice to the other party via official email.

• Work Completed Billing: In the event of early project termination by the Client, the Client remains responsible for payment of all labor, design hours, and milestones completed up to the date of termination.
• Deposits: Initial project discovery, wireframing, and setup deposits are non-refundable once design and code engineering work has commenced.
• File Handover Upon Cancellation: Nexus Digital will deliver all work completed up to the termination date once any outstanding prorated balance is settled.

These Terms and Conditions shall be governed by, interpreted, and construed in accordance with the laws of India, without regard to its conflict of law principles.

In the event of any controversy, claim, or dispute arising out of or relating to this agreement, the parties agree to first seek an amicable resolution through good-faith direct negotiations. If unresolved, the dispute shall be subject to the exclusive jurisdiction of the competent courts in North 24 Parganas / Kolkata, West Bengal, India.
